Role Overview for Legal Company Secretary Jobs in Lusaka
Reporting directly to the Chief Executive Officer, the Legal/Company Secretary will play a pivotal hybrid role. This position combines legal oversight of procurement activities with the governance functions of a corporate secretary. The successful candidate will manage legal, contractual, and regulatory risks throughout the project lifecycle, ensuring compliance with statutory obligations and development-finance standards. Additionally, the role provides strategic advice to the Board and management, facilitating effective governance and supporting directors in fulfilling their fiduciary duties.
Key Responsibilities
- Legal, Procurement & Grant-Making:
- Oversee drafting and negotiation of RFPs, grant agreements, partnership contracts, consultancy agreements, and MOUs, ensuring proper liability mapping to project financing recipients.
- Conduct legal due diligence on potential grantees and advise on suitable legal funding structures, including program-related investments and grants.
- Provide guidance on compliance with non-profit regulations, data privacy, and anti-terrorism financing laws.
- Governance & Company Secretarial:
- Develop and maintain corporate governance frameworks, prepare Board charters, governance policies, and annual governance reports.
- Organize board and committee meetings, prepare agendas and board packs, draft minutes, and monitor action points and resolutions.
- Manage statutory compliance including filing annual returns with PACRA and maintaining statutory registers and compliance calendars.
- Risk & Strategic Advisory:
- Establish internal compliance frameworks and oversee the risk register.
- Advise on insurance, procurement, and manage relationships with external legal counsel to ensure cost-effective support.
Qualifications and Experience
- Education: Bachelor of Laws (LL.B.) and qualification as an Advocate of the High Court of Zambia.
- Experience: 5 to 8+ years post-qualification experience at the Zambian Bar, preferably with exposure to legal practice in corporate and commercial law, regulated sectors, infrastructure, energy, or public-sector organizations. Experience with development finance or multilateral-funded transactions is an advantage.
- Legal Skills: Strong analytical ability to interpret legislation, regulations, and contracts, providing clear, practical advice to the Board and management. Proven expertise in legal drafting, contract negotiation, risk mitigation, and managing external counsel.
